Terms & Conditions

Effective: September 3, 2026. These Terms govern purchases and services provided by Jaida Monroe Studio. By purchasing a service, subscribing, approving a project, or otherwise engaging Jaida Monroe Studio, the client agrees to these Terms.

Business-focused services. Jaida Monroe Studio primarily provides creative and marketing content services to brands and businesses for commercial use. Nothing in these Terms limits any non-waivable rights a purchaser may have under applicable law.

1. Services and scope

Jaida Monroe Studio provides AI-assisted UGC, product content, creative direction, editing, and recurring Canvas / Tech UGC services. The specific deliverables, formats, quantities, timelines, platforms, usage rights, and other project requirements are determined by the package purchased and any written scope, brief, quote, invoice, or email agreed to by the parties.

Requests outside the agreed scope may require an additional fee, revised timeline, or separate quote. Work does not begin until required payment and the information or assets reasonably needed to start production have been received.

2. AI-generated creator and content

Jaida is an AI-generated digital creator and is not a real human influencer. Content featuring Jaida is produced using generative AI and post-production tools under human creative direction. The client agrees not to represent Jaida as a real person or attribute real-world personal experiences, product use, medical results, testimonials, or other factual experiences to Jaida unless the representation is separately supported and legally permissible.

Generative AI may produce minor visual, motion, voice, text, or continuity variations. Reasonable corrections within the purchased revision allowance will be addressed, but exact replication of a generated output cannot always be guaranteed.

3. AI UGC payments

AI UGC projects require a 50% booking deposit before production begins. The remaining 50% is due when the project is complete and before final unwatermarked assets are delivered. Preview or review versions may contain watermarks or other delivery restrictions until the outstanding balance is paid.

The booking deposit is refundable only if the client cancels before production begins. Once concept development, scripting, AI generation, editing, or other production work has begun, the deposit is non-refundable, except where applicable law requires otherwise.

4. Canvas / Tech UGC subscriptions

Canvas / Tech UGC packages are recurring monthly services and require 100% payment upfront before each monthly service period begins. The selected package determines the monthly deliverables and posting frequency. A dedicated social account may be created or operated for the client as part of the agreed service.

The client may cancel before the next billing date to prevent the next renewal. Payments for a service month that has already begun are non-refundable, except where applicable law requires otherwise. Cancellation does not retroactively cancel work already completed, scheduled, produced, posted, or otherwise committed during the paid service period.

5. Performance bonus

Where a Canvas / Tech UGC package includes a performance bonus, the standard rate is US$2 per 1,000 qualified organic views, calculated separately for each eligible video during its first 30 days after publication. Unless otherwise agreed in writing, paid, boosted, purchased, fraudulent, bot-generated, or artificially generated views are excluded.

Performance bonuses are invoiced separately according to the agreed reporting schedule. Platform analytics or other mutually acceptable reporting evidence may be used to determine qualified views. If a platform removes or materially adjusts reported views, Jaida Monroe Studio may use the most reliable available analytics for the applicable measurement period.

6. Revisions and changes

Each package includes only the revisions stated in the package or written project scope. A revision means a reasonable adjustment to an existing approved concept or deliverable; it does not include a new concept, complete creative restart, new product, new campaign direction, or other material scope change. Additional revisions or concept changes may be charged at the then-current add-on rate.

Client-requested changes after approval may affect the delivery schedule. Errors made by Jaida Monroe Studio that conflict with the agreed brief will be corrected without counting as a discretionary client revision.

7. Client responsibilities and approvals

The client must provide accurate briefs, product information, required claims guidance, brand assets, access credentials where applicable, and timely feedback or approvals. The client is responsible for confirming that product claims, instructions, offers, prices, trademarks, disclosures, and other client-supplied information are accurate and legally permitted.

Delays in client feedback, asset delivery, account access, or approvals may extend production or posting timelines. Jaida Monroe Studio is not responsible for missed campaign dates caused by client delay or third-party platform issues outside its reasonable control.

8. Client-provided assets and intellectual property

The client retains ownership of intellectual property it supplies, including logos, trademarks, packaging, product photography, scripts, and other brand materials. The client grants Jaida Monroe Studio a limited licence to use those materials solely as reasonably necessary to provide the purchased services and, where permission is given, to display completed work in the Studio portfolio or promotional materials.

The client represents that it has the rights and permissions necessary for materials it supplies and will not knowingly provide materials that infringe another party's rights.

9. Ownership and delivery of creative work

Until all amounts due for a project are paid, Jaida Monroe Studio retains its rights in the deliverables and may withhold final unwatermarked files. Upon full payment, the client receives the usage rights included in the purchased package or separately agreed licence. Unless expressly included, source files, working files, prompts, generation workflows, unused concepts, raw generations, templates, and internal production materials are not transferred.

10. Organic use, paid advertising, and exclusivity

Standard content pricing covers only the usage rights stated on the portfolio, quote, invoice, or project scope. Paid advertising, whitelisting, boosting, extended licensing, category exclusivity, or other expanded commercial rights require the applicable add-on fee or a separate written agreement.

Purchasing content does not automatically grant category exclusivity. Exclusivity applies only when specifically purchased and is limited to the duration, category, competitors, territory, and other conditions stated in writing.

11. Portfolio use

Unless the client requests confidentiality in writing before production begins or the parties agree otherwise, Jaida Monroe Studio may display final publicly released work in its portfolio, website, social channels, pitches, and case studies for self-promotional purposes. Confidential, embargoed, or unreleased client information will not knowingly be published before the agreed release date.

12. Delivery and third-party platforms

Any delivery estimate is based on the agreed scope and timely client cooperation. Jaida Monroe Studio does not guarantee the availability, approval, reach, distribution, algorithmic treatment, account status, or continued functionality of third-party platforms such as social networks, payment providers, hosting services, or AI tools.

13. No performance guarantee

Except for expressly stated deliverables, Jaida Monroe Studio does not guarantee a particular number of views, clicks, conversions, sales, followers, engagement, revenue, or other marketing result. Creative performance can be affected by factors outside the Studio's control, including platform algorithms, audience response, product-market fit, media spend, timing, pricing, and the client's broader campaign.

14. Prohibited and misleading uses

The client may not use Jaida, the Studio's deliverables, or related assets in a deceptive, unlawful, defamatory, fraudulent, discriminatory, sexually explicit, or otherwise unauthorized manner. The client may not use the content to create false personal testimonials or imply that Jaida is a real person with real-world product experiences. Jaida Monroe Studio may refuse or terminate work that it reasonably believes would violate law, platform rules, third-party rights, or these Terms.

15. Cancellations, termination, and abandoned projects

A client may cancel an AI UGC project subject to the deposit policy above. Jaida Monroe Studio may terminate a project for non-payment, material breach, abusive conduct, unlawful requests, repeated failure to provide required materials, or other substantial failure to cooperate. Amounts already earned for work performed remain payable.

If a client becomes unresponsive for 30 consecutive days after a request for information, feedback, approval, or payment, the project may be placed on hold or treated as abandoned. Restarting an abandoned project may require a new timeline and additional fee where substantial rescheduling or rework is required.

16. Chargebacks and payment disputes

Clients should contact Jaida Monroe Studio promptly at thejaidamonroe@gmail.com regarding billing concerns so they can be reviewed. Initiating a chargeback does not eliminate valid payment obligations for services properly provided. Jaida Monroe Studio may provide the payment processor with the applicable order, communications, approvals, deliverables, usage records, and these Terms when responding to a payment dispute.

17. Limitation of liability

To the maximum extent permitted by applicable law, Jaida Monroe Studio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of opportunity, or third-party platform decisions arising from the services. To the maximum extent permitted by law, the Studio's aggregate liability arising from a particular project will not exceed the amount actually paid to Jaida Monroe Studio for that project during the period giving rise to the claim.

Nothing in these Terms excludes or limits liability or rights that cannot legally be excluded or limited.

18. Indemnity for client materials and instructions

To the extent permitted by law, the client is responsible for claims arising from client-supplied materials, product claims, instructions, or uses of deliverables that exceed the agreed licence or violate law or third-party rights, except to the extent the claim results from Jaida Monroe Studio's own breach or wrongful conduct.

19. Governing law

These Terms and the services are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without limiting any mandatory rights or remedies that apply under consumer protection or other applicable legislation. Any dispute will be handled in a court of competent jurisdiction unless the parties voluntarily agree to another lawful dispute-resolution process.

20. Changes to these Terms

Jaida Monroe Studio may update these Terms for future purchases. The version in effect when a client purchases or renews a service will govern that transaction unless the parties agree otherwise in writing. Material changes will not retroactively alter a completed purchase without agreement where such agreement is required.

21. Entire agreement and severability

These Terms, together with the applicable package description, written scope, quote, invoice, and any written amendments, form the agreement for the services. If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A written project-specific term agreed by both parties controls over a conflicting general term for that project.
